1. Acceptance of Terms

By accessing or using the website vesldata.com (the “Website”), the VESL mobile application (the “App”), or any related services (collectively, the “Services” or “Platform”) provided by Bluefin Data, LLC (“Bluefin Data,” “BFD,” “we,” “us,” or “our”), you (“User” or “you”) agree to be bound by these Terms of Use (“Terms”), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. You represent that you are at least 18 years of age, or if you are between 13 and 18 years of age, that you have obtained parental or guardian consent to use the Services. The Services are not intended for children under the age of 13, and we do not knowingly collect personal information from children under 13.

If you do not agree with any of these Terms, you are prohibited from using or accessing the Services. The materials and content contained in the Services are protected by applicable copyright, trademark, and other intellectual property laws.

Relationship to Other Agreements. If you create an account on the Platform, your use will also be governed by the Mandatory Access Terms (“MAT”) between you and Bluefin Data. If you have entered into an Optional Commercial Access Addendum (“OCAA”), its terms will also apply. In the event of a conflict between these Terms and the MAT or OCAA, those agreements will control with respect to your use of Platform features covered by such agreements.

2. Website Use License

Subject to these Terms, Bluefin Data grants you a limited, non-exclusive, non-transferable license to access and view the content on the Website for your personal, non-commercial use. This license does not include the right to download (other than page caching), modify, reproduce, or distribute any content, except with Bluefin Data’s prior written consent.

If you create an account on the Platform, your license to access and use the Platform is governed by the Mandatory Access Terms (“MAT”). The MAT contains the applicable license grant, restrictions, and termination provisions for Platform use. In the event of any conflict between this Section 2 and the MAT, the MAT shall control.

3. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, video, and audio, and the design, selection, and arrangement thereof) are owned by Bluefin Data, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The VESL name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bluefin Data or its affiliates or licensors. You must not use such marks without the prior written permission of Bluefin Data.

Nothing in these Terms transfers any intellectual property rights in the Platform to you. Your license to use the Platform is limited as set forth herein.

4. User Content and Data

4.1 User Data Ownership

You retain ownership of all data you submit or generate through the Platform (“User Data”). Bluefin Data’s rights to User Data are limited to: (a) providing the Platform and Services; (b) facilitating compliance reporting; (c) maintaining system integrity; and (d) satisfying legal obligations.

4.2 License to User Content

When you upload, submit, send, or receive content to or through our Services, you grant Bluefin Data a limited license to use, host, store, reproduce, and process such content for the purposes described in Section 4.1. This license continues for the duration of your use of the Services and a reasonable period thereafter as needed to fulfill the purposes described herein.

4.3 User Representations

You represent and warrant that:

  • You own or control all rights in and to the User Data you submit.
  • All User Data you submit is accurate, complete, and not misleading.
  • Your User Data does not violate any applicable law, regulation, or third-party right.
  • Your User Data does not contain any material that is defamatory, obscene, or otherwise objectionable.

4.4 Access to User Data

If you have created an account on the Platform, Bluefin Data will provide you with access to, and the ability to correct or export, your User Data in a commercially reasonable format. Upon termination of your account, Bluefin Data will provide a reasonable opportunity to retrieve or export your User Data.

5. Account Security and Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account or any other breach of security.
  • Ensuring that your account information is accurate and up-to-date.

Bluefin Data will not be liable for any loss or damage arising from your failure to comply with this section. You may not use another person’s account without permission.

6. Electronic Communications Consent

By using the Services, you consent to receive electronic communications from Bluefin Data, including but not limited to emails, push notifications, and in-app messages. These communications may include service announcements, administrative messages, regulatory reporting notifications, and other information related to the Services.

You also consent to receive SMS/text message communications for service updates, notifications, or relevant communications. Such communications may use automated technology. You may opt out of non-essential communications at any time by following the instructions provided in the messages or by contacting support@bluefindata.com. Consent to electronic communications complies with the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

7. Third-Party Links and Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Bluefin Data. We have not reviewed all of the sites linked to our Services and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Bluefin Data of the site. Use of any such linked website is at your own risk. We encourage you to review the terms and privacy policies of any third-party sites you visit.

8. Disclaimer of Warranties

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER BLUEFIN DATA NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. WE MAKE NO COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLUEFIN DATA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BLUEFIN DATA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLUEFIN DATA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Business interruption arising out of the use or inability to use the materials on the Services.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BLUEFIN DATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bluefin Data, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use of the Services, including any data or content transmitted or received by you.
  • Your violation of any applicable law, rule, or regulation.
  • Your violation of any third-party right, including any intellectual property, publicity, confidentiality, property, or privacy right.
  • Any claim that your User Data caused damage to a third party.
  • Any misuse of the Platform.

If you have entered into the MAT with Bluefin Data, Bluefin Data agrees to indemnify and hold you harmless from claims arising from any intellectual property infringement by the Platform itself, subject to the terms and conditions of the MAT.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, you agree to first attempt to resolve the dispute informally by contacting us at support@bluefindata.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue formal resolution as set forth below.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal courts or Louisiana state courts located in Baton Rouge, East Baton Rouge Parish, Louisiana. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.

13. Export Regulation

The Services and any software or technical data provided through the Services are subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree that you will not export, re-export, or transfer the Services or any related technical data, directly or indirectly, to any country, entity, or person prohibited by applicable United States laws without first obtaining any required government authorization.

14. Accessibility

Bluefin Data is committed to making our Services accessible to all users, including people with disabilities. We are working to improve the accessibility of our Services and welcome feedback. If you experience any difficulty accessing or using any part of our Services, please contact us at support@bluefindata.com, and we will work with you to provide the information or service you need through a reasonable alternative method.

15. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, available at bluefindata.com/privacy-policy. The Privacy Policy describes our practices regarding the collection, use, and disclosure of your personal information. By using the Services, you consent to the collection and use of information as described in our Privacy Policy. Please review the Privacy Policy carefully.

16. Modifications to Terms of Use

Bluefin Data reserves the right to modify these Terms of Use at any time in its sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on the Website with a revised “Last Updated” date. We may also, at our discretion, notify registered users of material changes by email or through the Platform. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of the Services. We encourage you to review these Terms periodically for any updates.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.

18. Governing Law and Jurisdiction

These Terms of Use and any claim or dispute arising out of or related to these Terms shall be governed by and construed in accordance with the internal laws of the State of Louisiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal courts of the United States or the state courts of Louisiana located in Baton Rouge, East Baton Rouge Parish, Louisiana, and you hereby consent to the personal jurisdiction of such courts.

19. Entire Agreement and Waiver

These Terms, together with our Privacy Policy, the MAT, and any applicable OCAA, constitute the entire agreement between you and Bluefin Data regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. No waiver by Bluefin Data of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
